General
These conditions apply to the sale of goods ("Goods") and supply of services ("Services") Playsafekids Pty Ltd ("Playsafekids or Us") and all offers made by us in relation to all Goods by Us and, In the event of any inconsistency, save where otherwise expressly Provided in this Agreement, shall prevail over any terms and Conditions of any offer or communication by or from the buyer.

Prices
All prices printed in our catalogue are ex -warehouse Condell park NSW and subject to change or alteration without notice.

Playsafekids p/l is not obligated by any means, to match or beat advertised or competitors prices on products or services and has the sole right to these decisions to do so.

Terms of Payment
All invoices shall be paid in full no later than the terms agreed upon or stated on each invoice. Time shall be of the essence in this regard.

The extension of credit facilities is at the sole discretion of Playsafekids P/L.

Playsafekids P/L retains the right to withdraw credit facilities at any time prior to the delivery of Goods or Services. If the buyer's terms of sale are breached Playsafekids P/L may refuse to accept further orders until these breaches are rectified. If an invoice is not paid in accordance with the terms of payment, playsafekids may charge a 25% administration fee to all invoices that are in breach of these payment terms.

Risk
All goods supplied to , from playsafekids p/l be assembled by an adult. All Goods sold to the buyer shall be at the buyer's risk immediately upon delivery to the buyer, the buyer's nominee, or to the buyer's carrier.

Title to Goods
Playsafekids P/L shall retain title to all Goods supplied to the buyer until it has received payment in full of all sums due to it in connection with the supply and/or installation of the Goods. In the case of payment by cheque, bill of exchange or note, title shall not pass to the buyer until the same is honoured. If payment for any Goods or Services is overdue, Playsafekids P/L is entitled, without prejudice to any of its other rights and remedies, to repossess, Goods, and, without notice.

Return of Goods and Cancellation of Orders
The buyer may within seven (7) days of receipt of any Goods claim the right to return any Goods that are damaged ,defective, or delivered after an agreed date of arrival to the buyer, if the goods are not in accordance to the customer's order. If the buyer fails to notify Us in writing of its claim for rejection and its reasons therefore within such a period, the buyer will be deemed to have accepted such consignment.

A request for cancellation of any order by the buyer, wrong selection or change of mind must be notified to Us in writing no later than (7) days prior to any quoted delivery or consignment dates and must be agreed to by Us. As a condition of accepting such cancellation, Playsafekids P/L may, at its discretion, require the buyer to pay a cancellation /restocking fee, or freight charge determined by Us in order to recover any costs or loss (including, but not limited to, any loss of profits) incurred.

Playsafekids P/L reserves the right to refuse to accept return of Goods that have been already installed or opened from original packaging or which are no longer in returnable/ saleable condition.

Customer must provide a copy of original receipt, with returned goods.

Liability
Playsafekids P/L shall not be liable, in respect of any claim, whether contractual, tortuous, statutory or otherwise, for any loss, damage, costs, expenses or other injury or harm suffered by the buyer or any other person in relation to, or arising out of the Goods and/or Services by Us.

Playsafekids P/L liability (if any) shall be limited, to redirecting ,or common fault of transfer of goods or services at reasonable cost determined by us.

Changes
Playsafekids P/L reserves the right to change, amend or alter in any Way these Terms and Conditions without notice to the buyer.

In some instances colours and designs may vary with out notice No failure or delay by a party to exercise a power or right under this Agreement shall operate as a waiver of that power or right.

Severance
Should any clause of this Agreement or part thereof be found invalid or unenforceable by law. All remaining provisions of this agreement shall continue to be enforceable and binding on the parties.

Governing Law
These terms and conditions shall be governed by, and construed in accordance with, the laws of the State of New South Wales, any dispute in relation to any provision of this Agreement shall be either by way of arbitration in New South Wales, Australia or heard in the courts of the appropriate jurisdiction in the State of New South Wales, Australia.
